By accessing or using cobuddyAI ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

2. Description of Service

cobuddyAI is an AI-powered platform for product research, market validation, competitor analysis, and launch planning. The Service provides tools including but not limited to idea validation scoring, competitor analysis, market sizing, product canvas creation, and launch planning assistance. The Service is provided "as is" and "as available."

3. User Accounts

To access certain features, you must create an account. You are responsible for:

• Providing accurate and complete registration information.
• Maintaining the security of your password and account.
• All activities that occur under your account.
• Notifying us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.

4. Intellectual Property

Your content: You retain all rights to the content you create using the Service, including project ideas, research data, canvas content, and exported materials. We claim no ownership over your content.

Our content: The Service, including its design, features, code, documentation, and branding, is owned by cobuddyAI and protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service.

AI-generated content: Research results, validation scores, and recommendations generated by our AI are provided as tools for your decision-making. You may use, modify, and distribute AI-generated content freely within the context of your projects.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights.
• Submit false, misleading, or fraudulent information.
• Attempt to gain unauthorized access to the Service or its systems.
• Interfere with or disrupt the Service or servers connected to the Service.
• Scrape, crawl, or use automated means to access the Service without permission.
• Redistribute, resell, or sublicense access to the Service.
• Use the Service to develop a competing product.

6. Subscriptions and Billing

Paid features are offered through subscription plans. By subscribing, you agree to pay the applicable fees. Subscriptions automatically renew at the end of each billing cycle unless cancelled. You may cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period. Refunds are available within 30 days of initial subscription purchase.

We reserve the right to change pricing with 30 days advance notice. Existing subscriptions will honor the current price until the end of the billing period.

7. Disclaimers

The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not warrant that:

• The Service will be uninterrupted, secure, or error-free.
• AI-generated research, scores, or recommendations will be accurate, complete, or suitable for your specific decisions.
• The Service will meet your specific requirements.

AI-generated content is intended as a decision-support tool, not as definitive business advice. You are solely responsible for the decisions you make based on information provided by the Service.

8. Limitation of Liability

To the maximum extent permitted by law, cobuddyAI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, use, or goodwill, arising out of or related to your use of the Service. Our total liability for any claims related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless cobuddyAI, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for conduct that we believe violates these Terms, is harmful to other users, or is otherwise objectionable. Upon termination, your right to use the Service ceases immediately. You may request export of your data within 30 days of termination.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in Delaware.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes through the Service or by email. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
